Seasons Holidays Club Rules

1. DEFINITIONS:
“ Exclusive Right of Occupation”: means the right to occupy and enjoy the size of unit referred to in the Membership Certificate:
“ Management Charge”: means the annual charge to Members provided herein.
“ Member”: means a person or persons named in a current Seasons Holiday Club Membership Certificate.
“ Membership Certificate”: means the Certificate granted to a Member by Seasons.
“ Resorts”: means the Seasons resorts from time to time.
“ Termination Date”: means the date of expiration of the last Weekly Period in the last year of occupancy specified in the Membership Certificate.
“ Weekly Period”: means the seven-night colour-coded period in each calendar year (as from time to time identified by Seasons in the then current Resort Guide of which these rules form part) in respect of which an Exclusive Right of Occupation is granted and as referred to in the Membership Certificate.


2. A Member shall be entitled to cancel membership of the Exclusive Right of Occupation at any time by returning the Membership Certificate to Seasons.

3. All Exclusive Rights of Occupation shall continue in existence until the Termination Date stated in the Membership Certificates.

4. Before any reservation of a Weekly Period is made Members shall pay to Seasons the Management Charge then current (unless the rate for the following year(s) shall have been fixed in which event the Management Charge shall be paid at that rate).

5. Seasons shall arrange for the management and administration of the Resorts and Members shall contribute in the form of an annual Management Charge to the costs incurred such as:

(i) Maintenance, repair, redecoration, cleaning, and (where necessary) renewal of Resorts, services and facilities
provided for the benefit of the Members;

(ii) Maintenance, repair and replacement of furniture, equipment, utensils, provisions, furnishings, fittings and
fixtures at Resorts;

(iii) Insurance of the Resorts for their full reinstatement cost, and other insurance that shall reasonably be considered necessary;

(iv) All outgoings incurred in the respect of the Resorts including water, rates, contributions to the upkeep of areas
used in common with third parties and any taxes or other charges or impositions;
(v) Any reasonable charges which may be incurred in the management and preservation of the value of the Resorts and the running of the Resorts’ affairs;

(vi) The maintenance of a sinking fund to meet capital expenditure;

(vii) The fees and expenses of the auditor, lawyers and professional advisers;

(viii) Value Added Tax.

6. Members shall pay the first Management Charge within 21 days of receipt and thereafter within 14 days of receipt or by 1 March (whichever is later).

7. The increase in the Management Charge will not exceed the rates of inflation for the Resorts and only in exceptional circumstances (for example as a result of government action, uninsured natural disaster, the need to provide additional services, etc) will the increase exceed inflation.

8. Members shall notify Seasons in advance of the name of the person(s) who will be occupying the relevant Weekly Period.

9. Members shall occupy their unit of accommodation only between 4.00 pm on the first day and the 10.00 am on the last day.

10. Members shall keep and maintain the Resort and any unit of accommodation occupied in a clean and tidy state and pay for any damage (other than as a result of the fair wear and tear) and shall behave considerately towards others,

11. Seasons shall be entitled to suspend Members if they break any of these rules and they can cancel membership in the event of non-payment of the Management Charge.

12. Membership is transferable upon payment of the applicable transfer fee and upon any transfer Seasons shall have the option to fix the Weekly Period to a specific numbered week and the Membership shall then no longer operate on a floating basis.

13. After the first anniversary of the activation of this certificate guests of Members may use holiday accommodation at the discretion of the Member and the Member accepts full responsibility for any breach of the Seasons Holiday Club Rules which may arise as a consequence.

14. Seasons can amend these rules as it considers necessary subject to certifying in writing that in its opinion such amendment does not materially prejudice the interests of the then existing Resorts and Members and does not operate to release any of the parties hereto from any responsibility to the then existing Resorts and Members.
